1) Acceptance of Terms

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SITE OR PLACING AN ORDER. By accessing or using the Site, creating an account, or purchasing products, you agree to be bound by these Terms and any policies referenced here (including our Privacy Policy and our Shipping/Returns/Refunds policy, which are incorporated by reference). If you do not agree, do not use the Site.

2) Québec Language Notice

If you are located in Québec, a French version of these Terms and related consumer disclosures is available. For Québec consumers, we present our contractual terms in French first and you may choose to view them in English. In the event of any inconsistency between versions, the French version may govern for Québec consumers.

3) Eligibility & Responsible Use

You must be the age of majority in your province/territory to place an order or have the consent of a parent/guardian. You agree not to use the Site for unlawful purposes, to interfere with the Site’s security or operation, or to misuse content, pricing, promotions, gift cards, or reviews.

4) Intellectual Property & Permitted Use

The Nutrizone name, logo, slogans, and Site content (including text, graphics, design, and compilation) are owned by or licensed to Nutrizone and protected by intellectual property laws. You may view and use the Site for personal, non-commercial shopping purposes. You may not copy, reproduce, republish, distribute, create derivative works, or commercially exploit Site materials without our prior written permission.

5) Product Information & Health Disclaimer

We aim to provide accurate product descriptions, images, ingredients, and usage guidance, but content may be simplified and may change without notice.

IMPORTANT HEALTH DISCLAIMER:

• Content on the Site is for general information only and is not medical advice.
• Do not use Site content to diagnose, treat, cure, or prevent any condition.
• Always read and follow the product label and packaging; if there is a discrepancy, the product label and packaging information prevails.
• Consult your physician or pharmacist before using supplements—especially if pregnant/nursing, under 18, taking medication, or managing a medical condition.
• Stop use and seek professional advice if you experience adverse reactions.

6) Pricing, Taxes, Errors & Availability

All prices are shown in [CAD] unless stated otherwise. Applicable taxes and shipping charges are shown during checkout before you pay.

We may correct pricing, description, image, or typographical errors at any time. If an error affects an order, we may cancel the order and refund any amounts paid.

Product availability is not guaranteed. We may limit quantities per customer/order, refuse orders suspected of fraud or resale, and discontinue products at any time.

7) Orders, Contract Formation, and Order Confirmation

7.1 Order Offer and Acceptance

Placing an order is an offer to purchase. The order is accepted only when we:

· charge (or authorize) your payment method and

· send an order confirmation / shipping confirmation email or otherwise confirm acceptance.

7.2 Contract Copy (Distance Sales)

We will provide you with an electronic copy of key order details (e.g., order confirmation email). Please retain it for your records.

7.3 Cancellation by Us

We may cancel or refuse an order for reasons including inventory issues, pricing errors, suspected fraud, address verification failures, or non-compliance with these Terms. If we cancel after charging you, we will refund the charged amount to the original payment method.

8) Shipping, Delivery & Risk of Loss

Shipping options, delivery timelines, and fees are displayed at checkout and/or on our Shipping Policy page.

Title and risk of loss pass to you upon delivery to the address you provide (or as otherwise required by applicable consumer law). You are responsible for providing accurate shipping information. If a package is marked delivered but not received, you must contact the carrier and us promptly so we can assist where possible.

9) Returns, Refunds & Exchanges

Returns/refunds/exchanges are governed by our Returns & Refunds Policy posted on the Site (incorporated by reference). Where your province’s consumer protection law provides non-waivable rights, those rights apply.

Minimum recommended points to ensure your posted policy matches your operations (keep consistent across Terms + policy page):

• return window (e.g., 14/30 days)
  
• condition requirements (unopened/sealed items for supplements; hygiene/safety exceptions)
  
• damaged/missing item procedure (photos + timeline)
  
• refund method (original payment method), processing times
  
• final sale items, clearance, perishable/temperature-sensitive items if applicable

10) Gift Cards / Gift Certificates

Gift cards issued by Nutrizone:

• do not expire and are not subject to dormancy/maintenance fees (except where permitted by law),
  
• are redeemable only as stated on the card or at purchase,
  
• are not redeemable for cash except where required by law,
  
• should be treated like cash; lost or stolen cards may not be replaced unless required by law or unless we can verify unused balance and ownership.

11) Promotions & Discount Codes

Promotions may be modified or withdrawn at any time and may exclude certain brands or products. Discount codes cannot be combined unless explicitly stated.

12) Accounts

If you create an account, you are responsible for maintaining confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized access.

13) Reviews and User Content

If you post reviews or other content, you represent that it is accurate to the best of your knowledge and does not violate any law or third-party rights.

By posting content, you grant Nutrizone a perpetual, royalty-free, worldwide, non-exclusive license to use, reproduce, modify, publish, translate, distribute, display, and otherwise exploit the content in any medium for business purposes, including marketing.

We may moderate, remove, or refuse user content at our discretion (e.g., abusive, misleading, irrelevant, unlawful, or suspected fake reviews). We do not guarantee the accuracy of user content.

14) Third-Party Links

The Site may include links to third-party sites. We do not control or endorse those sites and are not responsible for their content, products, policies, or practices. Use third-party sites at your own risk.

15) Security & Privacy

We use reasonable safeguards to protect personal information, but no internet transmission or storage is 100% secure. Our collection and use of personal information is described in our Privacy Policy.

16) Disclaimers

THE SITE AND ALL CONTENT AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUTRIZONE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or harmful components.

17) Limitation of Liability (with Québec carve-outs)

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUTRIZONE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL

NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS.

Québec legal carve-out: Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law, including (for Québec) liability for bodily or moral injury, or for material injury caused by intentional or gross fault.

18) Indemnity

You agree to indemnify and hold harmless Nutrizone and its directors, officers, employees, and agents from claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Site, your breach of these Terms, or your violation of any law or third-party rights.

19) Governing Law & Jurisdiction

Except where prohibited by consumer protection laws, these Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, and you submit to the courts located in Québec, Canada.

20) Changes to Terms

We may modify these Terms at any time by posting an updated version on the Site. Changes apply from the effective date shown. Your continued use of the Site after changes become effective constitutes acceptance.

21) Severability

If any provision is unlawful or unenforceable, the remaining provisions remain in effect.

22) Entire Agreement

These Terms, together with referenced policies (Privacy Policy, Shipping Policy, Returns & Refunds Policy), constitute the entire agreement between you and [LEGAL NAME OF COMPANY] regarding Site use and purchases.
